Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Partner Success website and services operated by Success Partner Logistics Services Company.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Use of Service

Partner Success provides consulting, technology development, partner enablement, and digital transformation services to organizations in Saudi Arabia. Our services are subject to these Terms.

1.1 Service Eligibility

To use our services, you must be at least 18 years of age and have the legal authority to enter into agreements on behalf of yourself or your organization. If you are using the service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1.2 Account Registration

Some of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

1.3 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate Partner Success, a Partner Success employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Partner Success or users of the Service or expose them to liability.

2. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Partner Success and its licensors. The Service is protected by copyright, trademark, and other laws of both Saudi Arabia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Partner Success.

2.1 User Content

You may provide content to us in the course of using our services ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing our services to you.

2.2 Feedback

If you provide us with any feedback or suggestions regarding our services, you hereby assign to us all rights in such feedback and agree that we shall have the right to use such feedback and related information in any manner we deem appropriate.

3. Service Fees and Payment

Certain services provided by Partner Success may require payment of fees. All fees are stated in Saudi Riyal (SAR) unless otherwise specified.

3.1 Payment Terms

You agree to pay all fees associated with the services you use in accordance with the payment terms specified in your service agreement or as otherwise communicated to you. All payments are non-refundable unless otherwise specified in your service agreement or required by law.

3.2 Taxes

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only Saudi Arabia taxes based on Partner Success's net income.

4. Confidentiality

In the course of providing our services, we may exchange confidential information. Each party agrees to maintain the confidentiality of the other party's confidential information and to use such confidential information only for the purpose of providing or receiving the services.

4.1 Definition of Confidential Information

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential.

4.2 Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available without breach of this agreement;
• Was known to the receiving party prior to its disclosure by the disclosing party;
• Is received from a third party without breach of any obligation owed to the disclosing party; or
• Was independently developed by the receiving party without use of the Confidential Information.

5. Limitation of Liability

In no event shall Partner Success, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, our liability shall be limited to the maximum extent permitted by law.

6. Indemnification

You agree to defend, indemnify and hold harmless Partner Success and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
• Any claim that your User Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Service.

7. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

7.1 Termination of Services

If you have engaged us for specific services, the termination provisions in your service agreement will govern the termination of those services.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Saudi Arabia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
